Job :

Reporting to the Group Governance Director, your main responsibilities will be:
• Ensure the verification of governance body files, resolution projects, documentation, and deadline compliance...
• Monitor the operation of subsidiary governance bodies: attend governance meetings, assist subsidiaries in preparing and following up on their governance meetings as needed.
• Review the minutes and reports of the Group's various governance bodies, ensuring compliance with the procedure for drafting, validating, and signing these minutes.
• Contribute to the management of director mandates (appointments, resignations, renewals, remuneration of independent directors).
• Provide secretarial services for certain sensitive Group governance bodies upon request.
• Offer advice to directors by responding to internal and external requests related to governance matters.
• Ensure the application of the governance charter at the Group level.
• Evaluate the implementation of the governance charter and propose updates to the charter.
• Monitor the dematerialization and digitalization of governance projects, particularly the digitalization of CDG Group's bodies.
• Maintain ongoing monitoring of international best practices in governance and prepare watch reports and/or awareness notes.
 

Required profile :

What we are looking for:
• Higher education (Bac+5 level) in law with a specialization in governance and/or compliance, and/or corporate law.
• Approximately 6 years of experience in governance, compliance, internal audit, or internal control.
What you will bring:
• Good knowledge of corporate governance principles, corporate law, and the Moroccan code of good governance practices.
• Analytical and synthesis skills.
• Sense of organization and priority management.
• Ability to coordinate with various stakeholders.
• Rigorous and responsive mindset.
• Proficiency in drafting corporate law documents.
• Ability to handle complex and sensitive cases.
• Ability to handle a multitude of urgent cases.
