Providing legal advice and support for the fund's project development, investment, and divestment operations.
Drafting, negotiating, and analyzing contracts, deeds, and all legal documentation related to transactions (shareholder agreements, memoranda of understanding, financing agreements, guarantees, and various conventions).
Conducting and coordinating due diligence work and legal audits related to projects and investment targets, in collaboration with external counsel.
Securing the legal structuring of operations and transactional arrangements in coordination with the development, investment, and financial and tax teams, as well as relevant stakeholders.
Maintaining continuous legal and regulatory monitoring, particularly in business law, financial law, company law, and regulations applicable to investments in Morocco and internationally, with a specific focus on developments related to the fund's projects and investment opportunities.
Participating in the prevention, monitoring, and management of pre-litigation, litigation, and disputes related to the fund's operations and transactions.
Required profile :
EDUCATION: Master's degree (Bac+5) in Business Law, Financial Law, or equivalent
EXPERIENCE: Minimum 4 to 5 years of experience in business law and transactional operations. Proven experience acquired in a business law firm, investment fund, or financial institution.
PREREQUISITES: Solid expertise and experience in company law, contract law, investment regulations, and financial transaction structuring
Good knowledge of the Moroccan regulatory framework and international legal practices
Ability to manage multiple complex cases simultaneously with rigor, autonomy, and a sense of priorities
Strong negotiation skills and a keen sense of written and oral communication
Very good writing skills in French and English (Arabic: a plus)
Analytical and synthesis skills, and ability to manage complex legal issues
Sense of confidentiality, responsiveness, and results-oriented
Excellent interpersonal skills and ability to collaborate
Good capacity for work and legal writing in French and English, both written and oral.
